Please read these Terms of Use ("Terms") carefully before using Wealthfile ("Service") operated by Wealthfile ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service in any way, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. Description of Service

Wealthfile provides an informational platform that aggregates and analyzes publicly available data from SEC filings (including Form 4, 13F, and 8-K), financial databases, and news sources. The Service is intended for informational and educational purposes only.

We offer two tiers:

• Free: Limited access to filings data and sector overviews at no cost.
• Pro ($10/month): Full access to all features, signals, and analysis tools.

3. Not Financial Advice

Nothing on Wealthfile constitutes financial, investment, legal, or tax advice. All content is for informational purposes only. You should consult a licensed financial advisor before making any investment decisions. See our full Disclaimer.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Notify us immediately of any unauthorized use of your account
• Not share your credentials with any third party
• Not create multiple accounts to circumvent usage limits

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Payments

Pro subscriptions are billed monthly. Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

• Cancellation: You may cancel at any time from your account settings. Your Pro access continues until the end of the current billing period.
• Refunds: We do not offer refunds for partial billing periods. If you believe a charge was made in error, contact us within 7 days.
• Price changes: We will provide at least 30 days' notice before changing subscription prices.

6. Acceptable Use

You agree not to use the Service to:

• Scrape, crawl, or systematically download content without prior written permission
• Redistribute, resell, or sublicense any content from the Service
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Transmit any malware, spam, or harmful code
• Violate any applicable law or regulation, including securities laws
• Use the Service to engage in market manipulation or insider trading
• Impersonate any person or entity

7. Intellectual Property

All content on the Service, including but not limited to text, analysis, graphics, logos, and software, is owned by or licensed to Wealthfile and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.

Data sourced from SEC EDGAR is public domain. Our analysis, presentation, and derived works remain our proprietary content.

8. User-Generated Content

If you post content on the Service (e.g., Alpha Desk posts, Forecast predictions), you grant us a non-exclusive, royalty-free license to use, display, and distribute that content in connection with operating the Service. You represent that you own or have the right to post such content and that it does not violate any third-party rights.

We reserve the right to remove any content that violates these Terms or our community guidelines.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WEALTHFILE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Wealthfile and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and dispute resolution) shall survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use after changes take effect constitutes your acceptance of the revised Terms.
